企业治理中的剩余索取权与控制权配置

剩余索取权的配置直接关系到各利益相关者的权益,合理配置剩余索取权是调动各利益相关者积极性以及提高企业内部资源配置效率的关键。企业控制权安排作为一种制度本身虽然具有合理性,但这并不意味着企业控制权的行使是有效的。因此,企业控制权的结构是否合理在于其安排是否有利于公司绩效水平的提升,良好的公司绩效取决于是否存在符合实际需要的企业控制权安排。剩余索取权与控制权配置对我国国有企业的发展有很大的启示作用,本文在最后也对国有企业的发展提出了一些建议。

Collocation of Residual Own and Control Rights in the Management of Corporation

The collocation of residual own right relates all the benefitors,logical collocation is the key to mohilize en- thusiasm of benefitors and advance the effciency of res collocation in the corporation.The right of control as a rule is iogicai,but it doesn't predicare that the right of corporation controi is effective.So the logical configuration is good for advancing of outstanding achievement.The resdual own right and the collecation of control can affect the development of entemrises in our country and this paper gives some advices of it.
