一人有限责任公司法律规制的路径选择

一人有限责任公司是指只有一个自然人股东或法人股东的有限责任公司。一人公司的法律规制貌似全面、合理，但是，一人公司的法律规制还存在几个困境。一人股东，特别是自然人股东易独裁，难以形成科学决策。区分自然人一人有限责任公司与法人一人有限责任公司，分别规制。强制分权，相互制约，实现权力机关、执行机关和监督机关的平衡。强制建立身份明示制度，适度的财务审计制度。

One-person Company is the ones which have only one natural or corporate shareholder, which laws seem comprehensive, reasonable , but it still has several difficulties. One person shareholders, especially the natural shareholder ,easily are dicta- torship, who is difficult to form scientific policy-making. Distinguish between one natural-person companies with limited liability companies; it is responsible to regulate separation. We should mandatory separate the powers, restraint ,put the power and executive authorities and supervisory-bodies in a balanced manner, and we should establish compulsory identity expressing systems, moderate financial audit systems.
