| 摘 要： | 用逻辑分析法和实证研究法分别对管理层收购的资金缺陷问题以及MBO信托融资及其面临的法律问题进行探讨，得出管理层收购应采用信托融资方式解决资金来源问题。意在通过研究，推动有关立法，实现MBO信托融资的合法化，使管理层收购最终走出资金困境。
