| 摘 要： | 由于我国现行的公司监事会制度和独立董事制度的缺陷,带来了公司监督机制的制度冲突问题。应在明确独立董事与监事会的职权范围,使其在目标一致的前提下,各行其职、各负其责,做到分工明确、相互监督。

| Abstract: | Because the default of Chinese supervisory board and independent director's inefficacy,the corporate governance has some wrong with its function.The article analyzes the reason of Chinese supervisory board and independent director's inefficacy,and set forth the suggestion on how to construct a supervisory mode with Chinese characteristics,based on the coexistence of independent directors and supervisory board. |
