| 摘 要： | 一人公司的制度化己成为完善我国公司立法中巫待解决的问题之一。木文通过对一人公司、独资企业及各自的利弊分析引出一人公司对公司立法的挑战问题，并介绍了国外相关立法例，分析了我国一人公司的现状，从而肯定了对一人公司进行立法的必要性，最终提出笔者的几点立法建议。

This article puts forward the challenge to the corporate legislation by analyzing the one - man company and introduces other countries'' related legislation , and then analyzes the status quo in our country., and finally poses the author'' s suggestion to our domestic legislation. |
