国有股减持:困境与出路

国有股减持虽然停止，但它一直是各界关注的焦点。本文在分析现有四种主要减持模式的基础上，阐述了我国国有企业经营困难的症结所在，提出了把部分国有股转化为无期限可转换债券的建议，并探讨了这种方案的优点以及实施该方案过程中应注意的问题。     

农村股份合作制股份类型的划分标准研究

通过实际考察和对股份合作制正式制度供给的分析,指出存在两种股份类型的划分标准,并提出在农村股份合作制的正式制度供给中,采取明文规定两种划分标准的做法更为合理。     

土地经营权入股合作社的基本内涵、功能价值与制度构建

引导土地经营权入股合作社是不断探索和丰富"三权分置"具体实现形式的重要举措。土地经营权入股合作社过程中,土地经营权应当被塑造为用益物权,入股的合作社类型应当是农民专业合作社。土地经营权入股合作社具有"制度落实、要素整合、粮食安全和经济发展"的功能价值,但目前存在着法律规范滞后和配套制度缺陷两大问题。今后,土地经营权入股合作社需遵循入股自愿、平等协商、有偿流转;集体所有、稳定承包、农业用途;合理期限、规范入股、权益保护三大原则。机制构建上,应按照"自下而上"的改革思路,提出现行土地经营权入股合作社法律法规修改和完善的指导性建议,并加强有关政策与配套设计,具体包括研究推进土地经营权入股登记制度、建立市场体制、构建入股保障机制等。     

Taxation and investment implications of non-industrial private forestry within a Boreal Swedish municipality

The Swedish tax system affects distribution of forest revenue between national, municipal and individual interests. The study reported here takes a Boreal municipality perspective, with the objective of investigating the tax and investment implications of non-industrial private forestry (NIPF) in a case-study municipality at these three interest levels. Sales revenue, operating costs, investment, disposable income and direct tax revenue generated in NIPF within the boreal municipality are quantified, drawing on income tax return data. The question addressed is, does NIPF contribute to the local economy and thereby to development and maintenance of infrastructure in a typical boreal municipality, given the present NIPF ownership structure and tax system? Results support two different views. On one hand, tax revenues generated from NIPF to the resource municipality amounted to only 17% of the direct tax revenues or less then 1% of the tax revenues in the municipality budget. On the other hand, NIPF owners returned as much as 72% of sales revenue back into their firms in form of operating costs, and 20% in from of investments.

我国公司法律制度的缺失以及相关理论的简陋使得公司股权转让纠纷成为了司法实践的难点。有限责任公司股东未经全体股东过半数同意向非股东转让股权行为的效力问题就是其中一例。本文采用“效力未定说”对上述股权转让行为加以理论和实例分析。

通过对集体建设用地在流转过程中的“入股”方式的文献调研,并对近年来学者比较关注的集体建设用地入股方式进行分类整理、并对“入股”流转形式的产权结构特征、社会效应、问题与对策及实施条件进行总结,以期为集体建设用地入股的进一步探索提供思路。

Under the premise of unchanging the collective ownership and the mode of family business, China should choose land shares pack system as the goal pattern of farmland system innovation. It is hoped that the pattern is accepted and supported by both sides of the government and the farmers, and then it constructs the land reasonable circulation and the effective centralism mechanism, thus realizing smooth transition from the traditional agriculture to the modem agriculture.     

以公平原则确定上市公司非流通股的减持价格机制

以国有股为代表的上市公司非流通股的解禁与减持,对我国证券市场的持续、稳定发展有着重要的影响。本文从分析上市公司非流通股的解禁与减持对当前我国证券市场走势的影响入手,在阐述上市公司非流通股疯狂持减原因的基础上,提出应遵循公平原则来进行机制重塑,以规范上市公司非流通股减持。
