| 摘 要： | 企业合约安排的前提是节省企业交易成本和充分发挥企业的资源竞争优势。本文在交易成本理论与资源基础理论的基础上，将交易效率与资源整合效率有机结合，寻求有效的制度安排来达到交易效率与资源整合效率的联动最大化，最终认为，并购与联盟的选择就是交易效率与资源整合效率两者结合的最佳权衡点。

| Abstract: | The prerequisite of the enterprise - contract rules and regulations lies in that the enterprise can lower its transaction cost and fully display its competitive advantage resources. On the basis of the theory of transaction cost and the basic theory of resources, this paper aims to argue that the choice of merger and alliance actually decides the optimum balance between transaction efficiency and resource - conformity efficiency by combining the two in a systematic way and seeking the effective arrangement system so as to achieve the interactive maximization of the efficiency of transaction and resource integration. |
