| 摘 要： | 有限合伙集有限责任与无限责任于一身,具有普通合伙与公司法人所不能同时具有的特殊优势。有限合伙是如今现有的所有企业组织形式中最有利于高风险投资的组织形式。应允许所有企业法人参与有限合伙,且不应限制有限合伙人的人数。

| Abstract: | The limited partnership which collects the limited liability and the unlimited liability has the special advantage over the common partnership and the company. The limited partnership is the best form of the present commercial organization in promoting the development of the high technology enterprise. As for the legislation in our country ,all enterprises should be permitted to join the limited partnership, moreover, the number of limited partners should not be limited. |
