| 摘 要： | 从现代公司法人治理结构的基本特征出发，分析目前我国国有企业改制后公司法人治理结构存在的主要问题，并从转变政府职能、合理分散股权、加强董事会功能、建立内部监督机制、完善公司法人结构和企业党组织建设等六个方面探讨了国有企业改制后公司法人治理结构的建设途径。

| Abstract: | Based on the features of modern corporation administration framework, this paper aims at analyzingthe major problems surrounding corporation administration framework after the restructure of state- ownedenterprises and exploring the approaches to establishing it by taking into consideration the following sixaspects: transforming government functions, rational decentralizing stocks, strengthening the function of theboard of directors, establishing inner supervision mechanism, improving the corporation framework andbuilding Party' s organization in enterprises. |
