| 摘 要： | 诚信是维持市场有序运行的基本机制,法律是建立和维持市场主体之间信任的制度保证。法律制度越完善,诚信就越容易建立。而对失信行为惩罚不力、公司管理人短期行为、公司内部缺乏基本的信用管理制度是诚信缺失的最主要原因。完善破产商事法律制度,强化对公司及其管理者失信行为的惩罚,是增加背信成本的重要思路,是建立公司诚信的有效可行方案。

| Abstract: | Honesty is a basic system which sustains the order of market orperation, and law is the guarantee to build the credit among the market subjects. More perfect the legal system is, the easier the building of honesty system is. Slight punishment, ephemeral behavior and the deficiency of affiance management system are the principal causes of honesty deficiency.To strengthen the confidence of the corporates, the effective and feasible measures are: making the bankruptcy system more perfect and make the punishment to the corporate and its managers who disobey the credit system more severely. |
