民法总则与公司法在法律适用中的冲突

商事行为是民事行为的一部分，我国商事相关法律多采用单行法形式，其中商事法律 中的《公司法》与民法总则的联系最为紧密。民法总则出台后，民事法律体系相继有了更进一步 的完善，能够更好的适用于当下的社会环境。民法总则的内容多是一般性规则，对公司法起着 补充适用和漏洞填补的重要作用。民法总则在一定程度上具有约束及限制公司法的作用，同时 也尽可能的弥补公司法存在的缺陷与不足。但就现有法律法规来看，民法总则与公司法之间仍 然存在冲突，本文浅要分析民法总则与公司法在法律适用中存在的问题。

The conflict between General principles of Civil Law and Company Law in the Application of Law

Commercial acts are part of civil acts. Most commercial laws in China adopt the form of sin? gle law. Among them, the Company Law in commercial law has the closest relationship with the General Rules of Civil law. After the introduction of the General Rules of Civil Law, the civil legal system has been further improved, which can be better applied to the current social environment. The content of General Rules of Civil Law is mostly general rules, which play an important role in supplementing the application of corporate justice and filling the loopholes. To a certain extent, the General Rules of Civil Law have the function of restraining and restricting the Company Law, and at the same time, make up for the defects and deficiencies of the Company Law as much as possible. But as far as the existing laws and regulations are concerned, the General Rules of Civil Law are concerned.There are still conflicts be? tween the General Rules of Civil Law and the application of Company Law.
